1. Authorisation:

The below-named Client is engaging Sam’s Websites (“Developer”), a sole proprietor, as an independent contractor for the specific purpose of developing a website.

​

Concerning a website development, the Client also authorises Sam’s Websites to publicise the completed website to search engines, as well as other web directories and indexes.

​

2. Scope of Works:

Domain Registration: Sam’s Websites will secure a domain name for the Client at the Client’s request. All standard charges incurred in doing so will be included in the package price under this agreement. These are interknit (or third-party) fees, and are not a source of income for the Developer.

If the Client already has a domain name, Sam’s Websites will coordinate the redirecting of the existing address to the new domain host. Should the Client desire a specific domain name already owned by another party, negotiations for said domain are the responsibility of the Client.

Text, links, photos, installation, site publicity, email response links, and cross-browser compatibility are all handled as outlined in the Scope of Works, subject to client supply and agreement.

3. Additional Works:

Additional standard web pages beyond the agreed project scope will be billed at an additional fee. Where custom graphic work or significant modifications are requested, they will be billed at an hourly rate.

4. Consultancy:

Up to one (1) hour of consultation (via email or phone) is included to discuss material aspects such as design, orientation, and SEO. Additional consultation may incur fees.

5. Additional Expenses:

The Client agrees to reimburse Sam’s Websites for any critical requested expenses such as:

• Purchase of specific fonts, photography, software, or graphics at the Client’s request.

6. Client Amends / Changes:

Moderate changes are included during development and within two weeks of launch. Significant modifications (such as redesigns, navigation changes, or replacement of large amounts of text/images) will be billed separately.

Once a Contributor Invite has been provided to the Client for direct editing, Sam’s Websites is no longer responsible for content, layout, design, or modifications made by the Client.

7. Web Hosting & Monthly Subscription:

The Client agrees to host their website through Sam’s Websites’ hosting service.

​

All websites built by Sam’s Websites are placed on a monthly subscription plan which includes:

• Website hosting

• SSL certificate

• Basic SEO setup and ongoing updates

• Security monitoring

• Software and platform updates

​

Standard websites are billed at $74/month.

E-commerce sites or websites with custom payment gateways/forms are billed at $87/month.

​

Subscriptions are month-to-month and can be cancelled at any time.

​

8. Search Engine Registration:

Sam’s Websites will optimise the website with titles, keywords, and descriptions, and submit the website to Google Search. Advanced SEO and marketing services are available separately.

9. Work Schedule and Completion Date:

Sam’s Websites will provide a first mockup draft within twenty (20) business days of receiving the signed contract, deposit, and initial client direction.

The Client must provide all required content (text, logos, images, etc.). Delays in client supply are not included in timeframes.

Upon project completion, the Client must approve the work in writing. After the final balance is paid, the website will be published and connected to the Client’s domain.

10. Project Costs:

The average investment for a website developed by Sam’s Websites is $4,000–$6,000, depending on scope and functionality.

A 50% deposit is required to commence work, with the remaining 50% due on completion before the website goes live.

11. Copyrights, Liability, Indemnification, Ownership, and Termination:

All standard copyright, liability, indemnification, ownership, and termination clauses remain as outlined in the original agreement.

12. Litigation:

Any disputes arising from this contract will be litigated or arbitrated in Darwin, Northern Territory, Australia, under NT law.

​

13. Sole Agreement:

This Website Development Contract constitutes the sole agreement between Sam’s Websites and the Client. Any changes must be in writing and signed by both parties.
